1. Definizioni

1.1 Ai fini delle presenti condizioni generali di vendita (di seguito denominate

“Condizioni di Vendita”), i seguenti termini avranno il significato di seguito ad essi attribuiti:

- “Sylcom Light”: Sylcom Light S.r.l., con sede in Italia, Spinea (VE), Via Ferraris, 19 – 30038 – Tel. 041 5411061 – Fax 041 999757 - PI 00855990271

- “Cliente”: qualunque soggetto che acquisti, nell’ambito della propria attività commerciale, i Prodotti di Sylcom Light da quest’ultima;

- “Prodotti”: i beni prodotti, assemblati e/o venduti da Sylcom Light (I Prodotti non vengono forniti di lampadine);

- “Richiesta di acquisto”: ciascuna richiesta di acquisto dei Prodotti inoltrata dal Cliente a Sylcom Light esclusivamente tramite fax, e-mail, posta;

- “Proposta di vendita”: ciascuna proposta di vendita dei Prodotti inoltrata da Sylcom Light al Cliente esclusivamente tramite fax, e-mail, posta;

- “Ordine”: l’accettazione della proposta di vendita dal cliente

- “Vendita/e”: ciascun contratto di vendita concluso tra Sylcom Light e il Cliente a seguito del ricevimento da parte di Sylcom Light dell’Ordine scritto del Cliente;

2. Oggetto

2.1 Le presenti Condizioni Generali di Vendita disciplinano le modalità e le condizioni di vendita dei Prodotti realizzati e commercializzati da Sylcom Light e si applicano per tutte le Vendite di Prodotti al Cliente.

2.2 Nel caso di contrasto tra le condizioni e i termini di cui alle presenti Condizio- ni di Vendita e le condizioni e i termini pattuiti nella singola Vendita, quest’ultimi prevarranno.

2.3 Sylcom Light si riserva di aggiornare o modificare le presenti condizioni generali in qualsiasi momento anche in considerazione di eventuali mutamenti normativi.

Le presenti Condizioni generali sono pubblicate nel sito internet . 3. Ordini e Vendite

3.1 Il Cliente dovrà inoltrare a Sylcom Light una prima Richiesta di Acquisto, indican- do la descrizione dei Prodotti, la quantità richiesta.

3.2 Sylcom Light si riserva di esaminare la richiesta pervenuta e formulerà una Pro- posta di vendita al Cliente.

L’Ordine dovrà essere restituito per accettazione da parte del Cliente unitamente alle presenti Condizioni Generali di Vendita debitamente sottoscritte dal cliente.

3.3 Sylcom si impegna a mantenere ferma la Proposta di vendita per 60 giorni. Qua- lora entro tale termine non pervenga l’accettazione da parte del Cliente, quest’ulti- mo, se interessato all’acquisto, dovrà far pervenire una nuova richiesta d’acquisto.

3.4 Gli Ordini regolarmente inviati dal Cliente non potranno essere modificati o annullati senza il consenso scritto di Sylcom Light.

4. Prezzo dei Prodotti

4.1 I prezzi dei Prodotti saranno quelli indicati nel listino prezzi in euro di Syl- com Light in vigore al momento dell’inoltro dell’Ordine da parte del Cliente o, qualora il Prodotto non sia inserito nel listino prezzi o il listino prezzi non sia disponibile, quelli indicati nella Proposta di vendita di Sylcom Light al momen- to dell’accettazione dell’Ordine. Eccetto quanto diversamente concordato per iscritto tra le parti, i predetti prezzi sono indicati al netto dell’IVA.

4.2 Sylcom Light si riserva di modificare eventuali errori tipografici.

5. Pagamenti

5.1 Salvo diverso accordo scritto tra le parti, Sylcom Light emetterà le fatture al momento dell’invio dei Prodotti.

5.2 I pagamenti dovranno essere effettuati in Euro entro il termine indicato nella Proposta di vendita.

5.3 L’eventuale mancato pagamento parziale o totale superiore a 30 giorni le- gittimerà Sylcom Light a sospendere ogni eventuale successiva consegna dei Prodotti prevista e darà luogo alla decorrenza degli interessi di mora calcolati al tasso stabilito dal Decreto Legislativo n. 231/02.

La sospensione della consegna dei Prodotti o la risoluzione delle Vendite non darà il diritto al Cliente di pretendere alcun risarcimento dei danni.

5.4 Ogni reclamo relativo ai Prodotti e/o alla consegna dei medesimi non potrà in alcun caso giustificare la sospensione o il ritardo nel pagamento.

6. Trasporto

6.1 Eccetto quanto eventualmente diversamente concordato per iscritto tra le parti, il trasporto avviene:

- in Italia

a. Per Ordini di valore inferiore a 900 eur. (al netto di sconti e esclusa IVA): porto assegnato con addebito spese trasporto in fattura

b. Per Ordini di valore superiore a 900 eur. (al netto di sconti e esclusa IVA): porto franco venditore (DAP)

- all’estero: Ex Works loaded on departing vehicle

La merce viaggia a rischio e pericolo del committente anche se venduta franco venditore.

7. Garanzia e termini per denuncia

7.1 In caso di difformità dei Prodotti consegnati al Cliente rispetto al tipo ed alla quantità indicata nell’Ordine, il Cliente dovrà apporre la firma sulla clausola di riserva sul documento di trasporto e denunciare per iscritto a Sylcom Light entro 8 giorni dalla data di consegna. Qualora la denuncia non venga comunicata entro il predetto termine, i Prodotti consegnati verranno considerati come con- formi a quelli ordinati dal Cliente.

7.2 Non si accettano resi se non previa autorizzazione da parte di Sylcom Light, e comunque il reso deve essere inviato a Sylcom Light utilizzando gli imballi origi- nali dello stesso con adeguato imballo.

7.3 Se la merce non può essere consegnata per irreperibilità del destinatario o per altri motivi non imputabili a Sylcom Light o al corriere, tutte le ulteriori spese di trasporti, giacenze, imballi, saranno addebitati al Cliente.

7.4 Salvo diverso accordo scritto tra le parti, Sylcom Light garantisce che i Pro- dotti sono realizzati in Italia da Sylcom Light ed esenti da vizi/difetti. La garanzia viene concessa per un periodo di un anno decorrente dalla data di consegna dei medesimi al Cliente e il vizio/difetto deve essere denunciato entro 8 giorni dalla scoperta in caso di vizi o difetti occulti o non rilevabili da una persona di media diligenza.

7.5 La garanzia non opererà con riferimento a quei Prodotti i cui difetti sono dovuti a (i) danni causati durante il trasporto; (ii) un uso negligente o impro- prio o non conforme alle specifiche tecniche degli stessi; (iii) inosservanza delle istruzioni di Sylcom Light relative al funzionamento, montaggio, manutenzione ed alla conservazione dei Prodotti; (iv) installazione da parte di un tecnico non specializzato; (v) riparazioni o modifiche apportate dal Cliente o da soggetti ter- zi senza la previa autorizzazione scritta di Sylcom Light; (vi) leggere differenze dei Prodotti rispetto alla rappresentazione degli stessi sul Sito e/o nei cataloghi e rendimento dei colori nelle stampe e/o da parte dei software di navigazione Internet e/o degli schermi di visualizzazione; (vii) leggere differenze dei Prodotti dovute all’artigianalità dei Prodotti, per i quali l’omogeneità della produzione non può essere perfettamente garantita; (viii) deterioramenti causati da oggetti esterni, eventi esterni quali incidenti, colpi, incendi.

7.6 A condizione che il reclamo del Cliente sia coperto dalla garanzia e notifica- to nei termini di cui al presente articolo, Sylcom Light si impegnerà, a sua discre- zione, a sostituire o riparare ciascun Prodotto o le parti di questo che presentino vizi o difetti.

7.7 Sylcom Light non sarà responsabile per qualsivoglia danno derivante e con- nesso ai vizi dei Prodotti. In ogni caso, Sylcom Light non sarà ritenuto responsabile per danni indiretti o consequenziali di qualsiasi natura quali, a titolo esem- plificativo, le perdite derivanti dall’inattività del Cliente o il mancato guadagno.

In ogni caso, il diritto del Cliente all’eventuale risarcimento dei danni sarà limita- to alla sostituzione della parte difettosa o del Prodotoo che presenti difetti o vizi.

8. Tutela dei dati personali

8.1 Il Cliente, con la sottoscrizione del presente contratto, conferma di aver ri- cevuto le informazioni di cui all’art. 7 del D.Lgs. n. 196 del 30 giugno 2003 nelle modalità previste dall’art. 13 del medesimo D.Lgs., autorizza espressamente Syl- com Light a trattare, anche con l’ausilio di mezzi elettronici o informatizzati, per finalità del tipo commerciale, promozionale, di marketing e di gestione ed ese- cuzione del presente contratto, nonché a comunicare e/o diffondere, per le me- desime finalità per le quali sono stati raccolti, i dati da lui forniti ed inseriti nella Banca Dati ad altre società nonché i dati attinenti alla presente compravendita.

9. Legge applicabile e Foro competente

9.1 Le proposte d’acquisto rivolte dal Cliente a Sylcom Light, le accettazioni da parte di quest’ultima, le compravendite eventualmente perfezionate, la raccolta e il trattamento dei dati sono soggette alle presenti Condizioni Generali di Ven- dita in vigore alla data della proposta d’acquisto, nonché, per quanto da queste non disciplinato, dalle vigenti norme italiane.

9.2 Per qualsiasi controversia è competente in via esclusiva il Foro di Venezia.

1) Subjects and sepcifications:

“Sylcom Light”: Sylcom Light S.r.l., located in Italy, Spinea (VE), Via Ferraris, 19 – 30038 – Tel. 041 5411061 – Fax 041 999757 - PI 00855990271

“Client”: all the subjects purchasing the Sylcom Light products by Sylcom Light, for their own commercial activity.

“Products”: all the products produced, assembled and / or sold by Sylcom Light (The Products are not supplied with bulbs).

“Purchase enquiry”: all purchase enquiries shall be sent to Sylcom Light from the Client in writing by fax or e-mail.

“Proforma invoice”: all proforma invoices shall be sent to the Client by Sylcom Light in writing by fax or e-mail.

“Order”: confirmation in writing of the proforma invoice duly signed by the Client.

“Sale/s”: each sale contract agreed between Sylcom Light and Client after recei- ving in Sylcom Light the order from the Client .

2) Object

2.1 These General Sale Conditions rule the way and the sale conditions of the Products manufactured by Sylcom Light.

2.2 These are General Sale Conditions, anyway the conditions agreed in each Proforma invoice will be valid only.

2.3The following General Sale Conditions are edited in the web site.

3) Orders and Sales

The Purchase enquiry must show a reference to the name and product code, its colour and quantity and it shall be sent to Sylcom Light in writing by e-mail or fax.

Sylcom Light undertake to send to the Client the Proforma invoice in writing.

Sylcom Light maintain the Proforma invoice valid for 60 days. If the Client does not send the confirmation order to Sylcom Light within this period , it will be considered cancelled.

The Client binds himself to confirm by signing the Order to Sylcom Light.

All the orders duly confirmed by the Client cannot be modified or cancelled without Sylcom Light writing approval.

4) Prices of Products

4.1 Sylcom Light will apply the price lists in force handed over to the Client at the time of acceptance of the order. If the Product is not included in the price list, the valid price is the one stated in the Proforma invoice. The price is excluded form VAT, Customs duties and other charges .

4.2 Sylcom Light reserve the right to adjust any possible printing mistakes.

5) Payments

5.1 Unless written agreements between Sylcom Light and Client, Sylcom Light issue the invoice at the time of dispatch.

5.2 Payments must be made in EURO within the terms stated in the Proforma Invoice.

5.3 In case of suspension of delivery or dissolution of the sale, Client shall not have the right to pretend the compensation of loss .

5.4 Any complaint connected to the Products and / or delivery of the same, cannot justify the delay or suspension in payment .

6) Transport

6.1 Unless different written agreements between Sylcom Light and the Client, the Products are supplied according to EX WORKS Spinea, Loaded on departing vehicle. Products are carried at the Consignee’s risk .

7) Guarantee and terms of claim

7.1 All the goods must be duly checked at the moment of receipt. In case of de- tention on any inconformity of the goods by quantity and quality stated in the Order, the Client must sign the reservation clause on the transport document and forward a written claim to Sylcom Light within 8 days from the date of the receipt of the Products and specify all the discrepancies supported by detailed pictures.

7.2 Sylcom Light don’t accept returns of the Products without their written authorization and instructions on how to proceed.

7.3 Sylcom Light guarantee that products are Made in Italy by Sylcom Light and free of any defects/faults. The guarantee covers the period of 1 (one) year from the date of delivery.

7.4 The guarantee is excluded in case of any defects of the Products due to damage caused during the transportation; to a bad and incorrect installation made by a not qualified electrician; to bad maintenance or no respect of the mounting instructions duly inserted in each box of Products; to repair or change made by the Client or third party without any writing authorization by Sylcom Light; to outside events such as accidents, hits, fires, or natural disasters or storm damages.

Descriptions and pictures contained in the Sylcom Light catalogues and website are aimed to show the products in the closest way possible to reality. Small differences in Products in comparison with the presentation of the same in the Sylcom Light catalogues and website, being the Products handcrafted, cannot be guaranteed .

7.5 Providing that the Product is covered by guarantee, Sylcom Light shall repla- ce the defective part of Product with new ones.

7.6 The responsibility of Sylcom Light is limited on the replacement of the faulty or non conforming Product. Sylcom Light will not be held to the compensation of indirect damages or non-profit suffered by the Client or a third party.

8) Applicable law and jurisdiction

The General Sales Conditions are written in English language.

In case of any dispute between Sylcom Light and Client the competence court is Venice, Italy.
