This paper presents an explicit panorama of the law of corporate groups in Italy and gives a detailed introduction of the evolution of the Italian model and its main characteristics. Compared to other systems, the trans-typical Italian legal discipline on direction and coordination is more flexible and more adaptive to the economic reality. This paper explains this model clearly and logically, which provides us with a meaningful reference.
However, the flexibility of regulations is always followed by the uncertainty in application. The paper will provide a more comprehensive view of the Italian model if the experience in judicial practice is also taken into consideration.
