Le finiture standard disponibili si riferiscono esclusivamente a quel- le riportate nel nostro catalogo.
Le finiture Cliente, se tecnicamente realizzabili, possono essere for- nite su richiesta con un sovraprezzo minimo del 5%.
Conferma d’ordine
La conferma d’ordine può essere effettuata da parte nostra solo dopo il chiarimento completo dell’ordine: pertanto tinte campioni, tessuti o pelli cliente e altre indicazioni importanti devono pervenir- ci anticipatamente.
Il termine di consegna decorre dal ricevimento di tutte le specifiche o dal ricevimento di campioni in tinta e/o tessuti o pelli cliente.
Tutti gli ordini saranno eseguiti secondo le nostre Condizioni Gene- rali di Vendita.
Tappezzeria - Tessuti Consumo tessuto
Il consumo di tessuto per ogni articolo è espresso in metri come riportato sul nostro listino prezzi ed è valido per tessuti di altezza 140 cm, tinta unita e non di tipo velluto.
Tessuto – pelle cliente
I tessuti e pelli spediti dai clienti devono rispettare le seguenti nor- mative:
đ Devono pervenire alla nostra azienda provvisti di un’etichetta che evidenzi e specifichi il lato e la direzione per la sua applicazio- ne. In mancanza di questo importante contrassegno, l’ordine non verrà preso in considerazione.
đ Il tessuto inviatoci dai clienti deve arrivare alla nostra azienda in porto franco e, se proveniente da Paesi non membri CEE, accom- pagnato dal certificato di origine, che è indispensabile per lo sdo- ganamento in Italia. Eventuali costi di trasporto e/o dogana da noi sostenuti, verranno addebitati in fattura.
đ Nel caso di tessuto cliente con rapporto di disegno, si prega di inviare una foto del tessuto e di comunicarci il rapporto esatto, al fine di fornirvi il consumo effettivo.
đ Per ogni rotolo di tessuto cliente a noi spedito si richiede l’ag- giunta tassativa di 1 m di tessuto extra per test iniziale.
đ COL-pelle cliente: la pelle a noi inviata deve essere adatta per tappezzare sedute di dimensioni piccole e deve avere uno spes- sore compreso tra 0,8 / 1,1 mm. In caso contrario si applica un sovrapprezzo di € 10,00 / mq per le lavorazioni extra da eseguire prima della tappezzeria.
Attenzione
đ Il consumo di tessuto indicato si riferisce a prodotti che non ri- chiedono, per il loro disegno, un taglio particolare.
đ Il consumo per pelle cliente va richiesto all’ufficio commerciale Midj.
đ Nel caso di ordini con tessuto cliente in quantità dispari, il consu- mo va calcolato come quello necessario per l’unità immediata- mente superiore. Esempio, per un ordine di 9 sedie, il materiale occorrente va calcolato per 10.
đ Per quantità superiori ai 10 pz verificare il consumo con l’ufficio commerciale Midj.
đ I colori chiari non devono essere messi a contatto con tessuti e capi di abbigliamento trattati con coloranti non fissati (ad esem- pio jeans o derivati) o con scarsa solidità di tintura, onde evitare macchie ed aloni di coloranti di cui NON possiamo garantire la pulitura.
Available standard finishes are exclusively the ones which are in our catalog.
Customer finishes, if technically possible, can be supplied on de- mand with a minimum overprice of 5%.
Order confirmation
Order confirmation can be sent from our company only after ob- taining a detailed order clarification: samples colours, customer’s fabrics or leathers and all important information have to be re- ceived in advance.
Delivery time applies as from the receipt of all product specifica- tions or the receipt of customer samples of colours and/or fabrics or leathers.
Every fill order placed complies with our General Sales Conditions.
Upholstery department - Fabrics Fabric consumption
Fabric consumption for each product is in meters as indicated in our price list and it is valid only for 140 cm fabric heights, plain coloured and not similar to velvet.
Costumer fabric/leather
Fabrics and leathers sent by costumers have to meet the following requirements:
đ They must arrive in our company with a label showing the surface and the direction by which they can be applied. If this important instruction will be missed, the order would not be taken into con- sideration.
đ Fabrics sent by costumers have to be delivered to our company in ex-works terms and, if coming from extra CEE countries, they have to come with the certificate of origin, which is mandatory for clearance in Italy. Any transport/clearance costs, that we will af- ford, will be charged on invoice.
đ In the case of costumer fabric with scale drawing, please send us a fabric picture and tell us the exact scale ratio in order to give you the effective fabric consumption.
đ For each custom fabric roll sent to us, 1 m extra fabric is required for fabric test.
đ COL-costumer leather: the leather sent to us, have to be suitable to upholster small dimensions seats and thickness must enter into a range of 1,2 / 1,4 mm. If requirements are not met, we will apply an overprice of € 10,00/m2 for extra treatment to be done before upholster process.
Attention
đ Fabric consumption indicated is referred to design products which not required a particular cut.
đ Leather consumption has to be asked to Midj’s sales department.
đ If order demand is for an odd quantity, costumer fabric consump- tion has to be calculated as for the unity immediately upper. For example: for an order of 9 chairs, costumer fabric consumption has to be calculated for 10.
đ For larger quantity than 10 pieces, please ask Midj’s sales depart- ment for fabric consumption.
đ Light colours do not have to be in contact with fabrics or clothes
treated with colour addicts not fixed (for example jeans and its
derivates) or with not solid colour treatment, in order to avoid any
colour spots and glows for which we CANNOT grant cleaning.

speciali riportate in ciascuna conferma d’ordine, ai rapporti di compravendita tra Midj S.p.A. (denominata in seguito per brevità, Midj) e il soggetto acquirente (de- nominato in seguito per brevità, Acquirente).
Le condizioni generali di vendita costituiscono parte integrante ed essenziale del contratto e si intendono integralmente accettate dall’Acquirente con la trasmis- sione da parte di Midj della propria CONFERMA D’ORDINE.
ART. 1: LISTINO PREZZI e VALIDITÀ
I prezzi indicati nel listino qui unito, espressi in euro, sono da intendersi al lordo de- gli sconti ed IVA esclusa; gli imballi di serie dei prodotti sono compresi nel prezzo.
Il listino annulla e sostituisce i precedenti.
ART. 2: MODIFICHE AL LISTINO PREZZI
Midj si riserva la facoltà di effettuare, senza alcun preavviso, variazioni dei prezzi e/o prodotti indicati nel listino; tali variazioni dei prezzi e/o dei prodotti saranno im- mediatamente applicabili a partire dalla loro conoscenza da parte dell’Acquirente.
ART. 3: TERMINI DI CONSEGNA
La consegna delle merci avviene “franco stabilimento Midj” (riferimento INCO- TERMS in vigore).
La richiesta da parte dell’Acquirente di una diversa modalità di consegna dovrà essere autorizzata in forma scritta da Midj e risultante dalla conferma d’ordine o da altra documentazione.
Eventuali periodi di giacenza di merce presso il magazzino Midj oltre il periodo concordato, verranno addebitati in fattura.
Il numero di pezzi contenuto nell’imballo, indicato a fianco di ciascun model- lo nel listino, è tassativo. Pertanto l’Acquirente accetta espressamente che gli ordini, quando effettuati per una quantità dispari per un prodotto imballato in quantità pari, vengano automaticamente adeguati alla quantità o al multiplo pari subito successivo. Eventuali imballi singoli, accettati eccezionalmente, prevedo- no l’addebito di un supplemento pari a 5€ (cinque euro) a collo in più rispetto al prezzo netto di vendita.
ART. 4: CONDIZIONI DI PAGAMENTO
Il pagamento del prezzo verrà effettuato dall’Acquirente senza addebito di spese, conformemente alle condizioni riportate nella conferma d’ordine. Sui ritardati pagamenti verrà applicato un interesse moratorio nella misura e con le modalità indicate nel D.Lgs.231/2002.
Midj ha la facoltà di sospendere la consegna delle merci in qualsiasi caso di ina- dempimento, anche parziale, da parte dell’Acquirente, delle condizioni di paga- mento pattuite.
Midj si riserva inoltre la facoltà di modificare le condizioni di pagamento stabilite in precedenza, senza che ciò possa dar luogo a responsabilità o diritti di qualsiasi genere.
ART. 5: TERMINI DI SPEDIZIONE E DI TRASPORTO
I prodotti ordinati verranno approntati per la spedizione entro 4 settimane lavora- tive dalla data indicata nella conferma d’ordine, tranne difficoltà impreviste delle quali l’Acquirente verrà debitamente informato.
Eventuali ritardi non costituiranno una giusta causa di annullamento dell’ordine né di qualsivoglia risarcimento e/o indennizzo, salvo che per accordo tra le parti.
Gli ordini, trascorsi 1 giorno dalla loro accettazione da parte di Midj, non potranno essere variati né annullati, tranne, in caso di annullamento, con l’addebito di un importo pari al 20% del valore dell’ordine accettato.
Per tutti gli articoli classificati “fuori standard” i termini di spedizione aumentano a 6 settimane lavorative dalla data indicata nella conferma d’ordine.
I danni alle merci derivanti dal trasporto o discordanze quantitative/qualitative ri- spetto al documento di trasporto dovranno essere segnalati all’atto dello scarico con annotazioni sul documento stesso. In mancanza di ciò, Midj non effettuerà la sostituzione della merce giunta danneggiata causa trasporto o discordante.
ART. 6: TESSUTI E PELLI CLIENTI
I tessuti e pelli spediti dai clienti devono pervenire provvisti di un’etichetta che evidenzi e specifichi il lato e la direzione per la sua applicazione. In mancanza di questo importante contrassegno, l’ordine non verrà preso in considerazione. Il tessuto inviatoci dai clienti deve arrivare alla nostra azienda in porto franco e, se proveniente da Paesi non membri CEE, accompagnato dal certificato di origine, che è indispensabile per lo sdoganamento in Italia. Eventuali costi di trasporto e/o dogana da noi sostenuti, verranno addebitati in fattura.
ART. 7: RECLAMI e GARANZIA
La garanzia relativa ai prodotti si limita alla sostituzione totale del prodotto o delle sole parti difettose, solamente per vizi di produzione direttamente imputabili a Midj.
Eventuali reclami relativi allo stato dell’imballo, quantità, numero o caratteri- stiche esteriori dei prodotti (vizi apparenti), dovranno essere notificati a Midj, a mezzo e-mail, indirizzo info@midj.it corredata da esaustivo materiale fotografico, pena di decadenza, entro otto giorni dalla data di ricevimento della merce. Even- tuali reclami relativi a difetti non individuabili mediante un diligente controllo al momento del ricevimento (vizi occulti) dovranno essere notificati a Midj median- te e-mail, indirizzo info@midj.it corredata da esaustivo materiale fotografico, a pena di decadenza, entro otto giorni dalla data della scoperta del difetto e co-
cuoio rigenerato.
Il cuoio rigenerato deriva dalla lavorazione di pelli miscelate a resine e materiali di varia natura. Un utilizzo frequente dell’articolo, specie nell’ambito del contract/
comunità, può determinarne un rapido deterioramento superficiale, riconduci- bile alle caratteristiche del prodotto e non a difetti o vizi dello stesso. Pertanto nel caso si manifestasse tale eventualità non si accetteranno reclami.
La garanzia non si estende a difetti causati al prodotto dal non corretto mon- taggio, dall’uso improprio o non conforme alla normale destinazione d’uso del bene, dalla mancata osservanza delle istruzioni d’uso e manutenzione, dall’or- dinaria usura.
Ogni reclamo, contestazione, pretesa non riconducibili a vizi dei prodotti potran- no essere fatti valere se comunicati, in forma scritta, a Midj entro otto giorni dalla data di ricezione della relativa fattura.
ART. 8: RESI
Non verranno accettati resi di merci se non preventivamente reclamati mediante comunicazione scritta ed espressamente autorizzati per iscritto da Midj.
Le merci da rendere dovranno pervenire entro il termine massimo di 60 giorni dalla data della relativa autorizzazione.
I resi dovranno essere effettuati esclusivamente con automezzi incaricati da Midj e accompagnati dal relativo documento di autorizzazione al reso.
Si precisa che l’utilizzo di corrieri potrà avvenire solo previa autorizzazione scritta di Midj.
Se per due volte, al passaggio dell’automezzo incaricato da Midj, le merci da ren- dere non saranno messe a disposizione per il ritiro, l’autorizzazione al reso sarà considerata nulla e le merci eventualmente inviate in sostituzione dovranno es- sere regolarmente pagate.
Al rientro delle merci, Midj verificherà subito lo stato di conservazione delle stes- se e in caso di danni non ascrivibili a Midj, non verrà riconosciuto il valore dei singoli pezzi.
Se per mancanza dell’imballo originale (o di imballo atto a preservare l’integrità della merce durante il trasporto) le merci risultassero danneggiate, Midj avrà la facoltà di addebitare all’Acquirente le necessarie spese di riparazione o di non accettare il reso.
Al rientro delle merci rese verrà emessa la relativa nota di accredito, che in ogni caso si baserà sui prezzi della specifica fattura i cui estremi dovranno obbligato- riamente essere citati nel documento di trasporto delle merci rese.
Le eventuali merci inviate in sostituzione verranno regolarmente fatturate. Se le merci sostituite non verranno rese entro 60 giorni, Midj ne rifiuterà il ritiro ed emetterà ricevuta bancaria a saldo.
Nel caso di mancato pagamento Midj avrà diritto di sospendere le consegne come indicato al precedente art.4.
Per le sostituzioni in garanzia che comportano resi, Midj si riserva di fatturare le merci inviate in sostituzione nel caso non vengano riscontrati sulle merci rese vizi di produzione imputabili a Midj. Il valore delle merci rese non potrà essere compensato con quello dei prodotti in consegna.
ART. 9: TOLLERANZA CAMPIONARI:
I colori dei materiali fotografati nel presente listino, nei cataloghi e nella cartella materiali, sono indicativi in quanto è tecnicamente impossibile riprodurre fedel- mente i toni e le finiture. Midj declina ogni responsabilità per richieste di abbina- mento con materiali acquistati precedentemente.
ART. 10: SCHEDA PRODOTTO USO E MANUTENZIONE DEL PRODOTTO
Midj, in ottemperanza alla Legge n.126 del 10/04/91, D.M. n.101 del 08/02/97 e Decr.leg.vo nr.206 del 06/09/2005, rende disponibile all’interno di tutte le con- fezioni la “Scheda Prodotto”, che dovrà essere messa in evidenza sulle merci esposte.
Midj non sarà responsabile per l’omissione di tale obbligo da parte del proprio Acquirente.
ART. 11: TOPALIT
Il piano in Topalit, per le sue caratteristiche tecniche, potrebbe riportare una cur- vatura massima tollerata come sotto specificato:
piano ø700 curvatura massima tollerata 3mm piano ø800 curvatura massima tollerata 4mm piano 700x700 curvatura massima tollerata 3mm piano 800x800 curvatura massima tollerata 4mm
Qualora si manifestasse tale eventualità non si accetteranno reclami.
ART. 12: RISERVA DI PROPRIETA’
E’ convenuto che i prodotti consegnati restano di proprietà di Midj fino al paga- mento completo del prezzo da parte dell’Acquirente, anche nel caso in cui siano state effettuate lavorazioni, implementazioni e/o modifiche sui prodotti origina- riamente consegnati.
ART. 13: FORO COMPETENTE
Ogni controversia relativa all’interpretazione ed esecuzione della compravendita regolata dalle presenti condizioni generali di vendita sarà di competenza del Foro di Pordenone.
Midj si riserva comunque la facoltà di adire il Foro ove l’Acquirente ha la propria
sede legale e/o il principale centro di attività.

Order Confirmation, regulate the purchase and sale agreement between Midj S.p.A. (hereinafter called Midj for short) and the purchaser (hereinafter called the Purchaser for short). The general terms of sale are an essential and integral part of the agreement and are intended to be fully accepted by the Purchaser when Midj transmits its ORDER CONFIRMATION.
CLAUSE 1: PRICE LIST AND VALIDITY
The prices specified on the attached price list, in euros, are gross (before di- scounts) and do not include V.A.T.; standard packaging for products is included in the prices.
The price list cancels and replaces the previous one.
CLAUSE 2: CHANGES TO THE PRICE LIST
Without giving prior notice, Midj reserves the right to vary the prices and/or pro- ducts specified on the price list. These changes in prices and/or products shall immediately apply as soon as the Purchaser is informed.
CLAUSE 3: DELIVERY TERMS
Goods are delivered “Ex-works Midj” (according to the current INCOTERMS). Any other term of delivery requested by the Purchaser shall require written authori- zation from Midj, and stated on the Order Confirmation or other document.
It is mandatory for the number of pieces included in the packaging to be specified at the side of each model from the price list.
Any periods of goods storage in Midj warehouse, beyond the period agreed, will be charged on invoice.
The Purchaser therefore explicitly accepts that orders, when made for an odd number of a product packed as an even number, shall be automatically increased to the next even number. Any single packaging, exceptionally accepted, could be possible with an additional fee of 5€ (five euro) for box to the net price.
CLAUSE 4: TERMS OF PAYMENT
Payment shall be made by the Purchaser, without any extra charges requested, in compliance with the terms specified on the Order Confirmation.
For any delay in payment, Midj shall debit interest on arrears according to the provisions of Legislative Decree nr. 231/2002.
Midj reserves the right to suspend all supplies of goods in any case of default, even partial, of the agreed terms of payment on the part of the Purchaser.
Moreover, Midj reserves the right to change any previously agreed payment terms, without any liability or any right.
CLAUSE 5: SHIPMENT AND TRANSPORT TERMS
Ordered products shall be ready for shipment within 4 working weeks of the date specified on the Order Confirmation, except in the event of unexpected difficul- ties that will be duly communicated to the Purchaser.
A delay shall not constitute a justifiable reason for cancelling an order or for any type of compensation and/or indemnity, unless otherwise agreed between the parties.
Orders shall not be changed or cancelled later than 1 days after being confirmed by Midj. In the event of cancellation, an amount shall be charged equal to 20% of the value of the accepted order.
For all “non-standard” items, shipment times shall be increased to 6 working weeks from the date specified on the Order Confirmation.
Any damage to goods due to transport or any differences in quantity/quality to those specified on the delivery note must be reported at the time of unloading and indicated on the delivery note.
Failing this, Midj shall not replace any delivered goods which have been damaged due to transport or which are incorrect.
CLAUSE 6: CUSTOMER FABRICS AND LEATHERS
Fabrics and leathers sent by costumers must have a label showing the surface and the direction by which they can be applied. If this important instruction will be missed, the order would not be taken into consideration. Fabrics sent by co- stumers have to be delivered to our company in ex-works terms and, if coming from extra-CEE countries, they have to arrive with the certificate of origin, which is mandatory for clearance in Italy. Any transport/clearance costs, that we will afford, will be charged on invoice.
CLAUSE 7: CLAIMS and WARRANTY
The product warranty only covers the total replacement of the product or faul- ty parts due to manufacturing defects that are directly attributable to Midj. Any claims concerning the packaging, quantity, number or external characteristics of products (apparent defects), must be communicated to Midj by email toge- ther with photographic material, under penalty of forfeiture, within eight days of the date of receiving the goods. Any claims concerning defects that cannot be identified by examination at the time of delivery (non-visible defects) must be communicated to Midj by by email together with photographic material, under
Special attention must be paid when ordering items upholstered in regenerated hide. Regenerated hide is the outcome of processing leather and combining it with different types of resins and materials. If an item is subjected to frequent use, particularly in the contract/community sector, this may result in rapid deteriora- tion of surfaces, which is ascribable to product features and not to any defects or flaws. Consequently, in the event of this occurrence, no claims shall be accepted.
The warranty does not include any defects in the product caused by incorrect assembly, improper use or any use other than its intended use, non-observance of the use and maintenance instructions, or wear and tear.
Any claim, dispute or allegation not ascribable to product defects may only be deemed valid if communicated in writing to Midj within eight days of the date of receiving the related invoice.
CLAUSE 8: RETURNED GOODS
No returns shall be accepted unless previously communicated in writing and ex- plicitly authorized in writing by Midj.
Any returned goods must be returned, at the very latest, within 60 days of the approval given by Midj.
Returns must only be made using vehicles sent by Midj and accompanied by a related document authorizing their return. It must be pointed that carriers may only be used upon prior written authorization from Midj.
If the goods to be returned are not made available for collection twice running when the vehicle sent by Midj arrives, any authorization given for their return shall be cancelled and any goods sent as replacements shall be duly paid.
When goods are returned, Midj shall immediately check their condition and, in the event of damage not ascribable to Midj, the value of individual pieces shall not be considered.
If the goods are damaged, due to the absence of their original packaging (or any packaging required to keep the goods intact during transport), Midj shall be entitled to charge the Purchaser any costs required for repairs, or may not accept the goods.
When goods are returned, a credit note shall be issued, which, in any case, shall be based on the prices of the specific invoice, for which details must be strictly specified on the delivery note for the returned goods.
Any goods sent as replacements shall be duly invoiced. If the replaced goods are not returned within 60 days, Midj shall refuse to collect them and shall issue a bank order for full payment.
In the event of non-payment, Midj reserves the right to suspend deliveries as specified in CLAUSE 4 above.
For replacements under warranty which involve returns, Midj reserves the right to invoice the goods sent as replacements if no manufacturing defects ascribable to Midj are found in these returned goods.
The value of the returned goods shall not be compensated with the value of the goods to be delivered.
CLAUSE 9: SAMPLES ALLOWANCE
The colors of the photographic materials in the present list, in catalogs and in the samples materials, are indicative as it is technically impossible to reproduce the tones and finishes. Midj disclaims any responsibility for colormatching requests with previously purchased articles.
CLAUSE 10: TECHNICAL DATA, USE AND PRODUCT MAINTENANCE SHEET In compliance with Italian Law nr.126 of 10/04/91 and Ministerial Decree nr.101 of 08/02/97, Midj provides a “Technical Sheet” in all its packages, which must be visible on all goods displayed.
Midj shall not be held liable for any non-observance of this obligation on the part of the Purchaser.
CLAUSE 11: TOPALIT
Due to its technical features, Topalit top should have a maximum curving radius tolerance as specified below:
ø700 top maximum curving radius tolerance is 3mm ø800 top maximum curving radius tolerance is 4mm 700x700 top maximum curving radius tolerance is 3mm 800x800 top maximum curving radius tolerance is 4mm If any tolerances occur, we will not accept claims.
CLAUSE 12: RETENTION OF TITLE
It is agreed that delivered products shall remain the property of Midj until full payment of the price has been made by the Purchaser, even when any of the original delivered goods have been customized, finished and/or altered.
CLAUSE 13: COURT OF JURISDICTION
Any dispute arising from the interpretation and execution of the purchase and
sale contract governed by these general terms of sale shall be settled by the
Court of Pordenone. However, Midj reserves the right to choose the Court where
the Purchaser has its legal offices and /or its main offices.
