Bergamo, 3 maggio 2013 – Il Consiglio di Amministrazione di Italcementi S.p.A. ha preso in esame e approvato la relazione trimestrale consolidata di Gruppo al 31 marzo 2013.
Il primo trimestre dell’esercizio in corso è stato caratterizzato in Europa, area
Mediterranea e Nord America da condizioni meteorologiche - in particolare nel mese di marzo - peggiori di quelle registrate nella prima parte del 2012. Questo contesto ha ulteriormente gravato sul settore delle costruzioni che continua a risentire delle conseguenze legate alla recessione che interessa i Paesi europei.
In Italia in particolare, dove il consumo di cemento è sceso dal picco di oltre 46,5 milioni di tonnellate segnato nel 2006 a una quota di poco superiore ai 25,5 milioni nel 2012, la

situazione del mercato rimane molto difficile, con una domanda che continua a ridursi. In questo complesso scenario, il Gruppo ha avviato la riorganizzazione del proprio sistema produttivo: in linea con il ‘Progetto 2015’, annunciato lo scorso dicembre, nel corso del corrente esercizio alcuni impianti a ciclo continuo continueranno ad operare solo come centri di macinazione. Questa riorganizzazione, che mantiene inalterata la capacità di coprire la domanda sull’intero territorio italiano, permetterà un ulteriore controllo dei costi operativi, più coerenti con l’attuale situazione di mercato.In Nord America si conferma la ripresa della domanda già emersa lo scorso anno, seppure con dinamiche differenziate per area.
Nei Paesi emergenti, i mercati asiatici restano caratterizzati da una evoluzione ciclica complessivamente positiva, mentre l’area Nord Africana non evidenzia, nonostante un contesto politico ancora incerto in Egitto, condizioni di deterioramento ciclico della domanda.
Nel periodo gennaio-marzo 2013 i ricavi del Gruppo hanno registrato una flessione (-9,3%
a 964,8 milioni di euro) rispetto al 1° trimestre 2012, principalmente per il calo dei volumi a marzo nonostante un migliore livello medio dei ricavi unitari (incrementi più significativi in divisa locale in Egitto, Tailandia e Marocco). Sui risultati di gestione, gli effetti legati alle azioni di contenimento dei costi operativi (oltre 35 milioni nel trimestre, con un obiettivo di circa 110 milioni su base annua) e la componente prezzi hanno compensato l’impatto derivante dalla flessione dei volumi. La mancanza di proventi dalla gestione delle quote CO2 soprattutto in Italia, Francia e Bulgaria (circa 18 milioni nel primo trimestre 2012), unitamente ad un incremento dei costi energetici in Egitto, hanno portato ad una contrazione dei risultati (margine operativo lordo corrente a 88,5 milioni in calo del 32,7%).

Nel settore cemento e clinker (10,0 milioni di tonnellate), l’andamento dei volumi di vendita è stato caratterizzato dalla rilevante contrazione in Europa e in Nord Africa, in particolare in quest’area per le avverse condizioni meteo in Marocco e per le difficoltà di approvvigionamento di fonti energetiche in Egitto. Il Nord America, anch’esso influenzato da una sfavorevole meteorologia in marzo, ha nel complesso consuntivato una contenuta flessione, mentre decisamente positivo è stato l’andamento dell’Asia con una crescita in tutti i Paesi.Nel settore degli inerti, con vendite per 7,0 milioni di tonnellate, il calo è conseguenza dell’andamento dell’Europa centro-occidentale, solo in modesta parte contrastato dalla forte crescita registrata in Marocco.
Nel settore del calcestruzzo (2,8 milioni di metri cubi), la contrazione evidenziata dall’Europa centro-occidentale ha determinato il calo dei volumi di vendita nell’intero settore, in parte compensato dalle buone performance di Europa emergente, Nord Africa e Medio oriente (Egitto) ed Asia (Tailandia).
I ricavi, pari a 964,8 milioni (1.063,4 milioni nel 1° trimestre 2012), hanno registrato un calo del 9,3%, determinato da una riduzione dell’attività (-7,3%) e da un effetto cambio negativo (-2,0%).
L’andamento dei ricavi ha risentito del calo dei volumi di vendita il cui impatto è stato solo in parte limitato dalla dinamica dei prezzi di vendita. A parità di cambi e perimetro
progressi sono stati registrati nei Paesi Asiatici, in Egitto (dove l’adeguamento dei prezzi ha permesso di assorbire gli incrementi dei costi energetici) e in Bulgaria, mentre i cali più significativi hanno riguardato Europa centro-occidentale e l’attività di Trading.

Il margine operativo lordo corrente, pari a 88,5 milioni ha registrato una flessione del 32,7% rispetto al 1° trimestre 2012. L’andamento è stato principalmente influenzato dalla flessione dei ricavi, dall’assenza dei proventi legati alla gestione dei diritti CO (al netto di questa componente la flessione è di circa il 19%), dall’aumento di alcuni costi gestionali e da un effetto cambio negativo. Queste dinamiche sono state peraltro contrastate da un significativo contenimento, pari a circa 35 milioni nel trimestre, dei costi operativi, conseguente ai piani adottati in termini di efficienza e risparmio. In relazione
all’andamento dei singoli Paesi, i progressi più significativi del Mol corrente rispetto al 1°
trimestre 2012, hanno riguardato Egitto (malgrado un effetto cambio negativo) e Tailandia, mentre i cali più rilevanti hanno interessato Italia e Francia-Belgio. Il margine operativo lordo, che ha beneficiato di proventi netti non ricorrenti di ammontare marginale (8,8 milioni nel primo trimestre 2012) ha segnato una flessione del 36,8% a 88,7 milioni.
Il risultato operativo è stato negativo per 16,5 milioni (positivo per 27,2 milioni) dopo ammortamenti di 105,3 milioni, in calo del 6,6%.
Il risultato ante imposte, negativo per 36,9 milioni (-3,4 milioni nel 1° trimestre 2012), sconta oneri finanziari netti di 19,5 milioni, in calo del 34,3% rispetto a quelli dell’omologo periodo

2012. A fronte di un leggero aumento degli interessi netti correlati all’indebitamento netto (da 20,6 milioni a 21,6 milioni), si è infatti registrata una significativa variazione positiva (10,2 milioni) per differenze cambio e derivati netti su operazioni di copertura.
Il risultato del periodo è una perdita di 58,5 milioni rispetto alla perdita di 34,4 milioni del 1°
trimestre 2012. Il risultato attribuibile al Gruppo è negativo per 78,2 milioni (perdita di 48,9 milioni), mentre l’utile di terzi è stato di 19,7 milioni (14,5 milioni).
Dopo flussi per investimenti per 64,5 milioni (81,8 milioni), l’indebitamento finanziario netto al 31 marzo 2013 era pari a 2.105,9 milioni rispetto ai 1.998,3 milioni di fine
dicembre 2012, in conseguenza soprattutto delle dinamiche stagionali del capitale d’esercizio. Rispetto a fine marzo 2012, l’indebitamento segna una riduzione di circa 73 milioni.
Il patrimonio netto consolidato alla fine del trimestre era pari a 4.103 milioni (4.164,7 milioni), mentre il gearing (rapporto indebitamento netto / patrimonio netto) è passato al 51,3% dal 48,0% di fine 2012.
Previsioni - Dopo un primo trimestre influenzato da condizioni meteorologiche estremamente avverse, il Gruppo ritiene di raggiungere nel corso dell’esercizio una sostanziale stabilità del margine operativo corrente rispetto al 2012. Il buon andamento dei mercati Asiatici e del Nord America e gli effetti positivi delle azioni di efficienza intraprese dovrebbero, infatti, compensare gli impatti della prevista riduzione dei volumi della domanda nei mercati europei.

In Europe, the Mediterranean area and North America, weather conditions in the first quarter of 2013 were worse than in the first quarter of 2012, especially in March. This situation was an additional negative factor in the construction sector, which continued to suffer from the repercussions of the recession affecting the European countries.
In Italy in particular, where cement consumption fell from the peak of more than 46.5 million metric tons recorded in 2006 to little more than 25.5 million mt in 2012, market conditions remained very difficult, with demand continuing to fall. In this complex scenario, the Group began the re-organization of its production system: as envisaged by the
‘Project 2015’ program announced in December 2012, during 2013 a number of
Page 2 continuous-cycle plants will continue to operate only as grinding centers. The re-
organization, which will not affect the Group’s ability to meet demand throughout Italy, will permit closer control of operating expense, consistently with current market conditions.
In North America the upturn in demand that emerged in 2012 was confirmed, although trends varied from one area to another.
In the emerging countries, the cyclical evolution of the Asian markets as a whole remained positive, while the North African region, despite the continuing political uncertainty in Egypt, did not reflect a cyclical deterioration in demand.
In the January-March 2013 quarter, Group revenue was down on the first quarter of 2012 (-9.3% to 964.8 million euro), largely owing to the decrease in volumes in March despite higher average revenue per unit (the most important increases were in Egypt, Thailand and Morocco, in local currency). With regard to operating results, the effects produced by measures to contain operating expense (more than 35 million euro in the quarter, with a target of around 110 million euro on an annualized basis) and the sales price dynamic made up for the impact of the reduction in sales volumes. The absence of income from management of CO2 rights especially in Italy, France and Bulgaria (approximately 18 million euro in the first quarter of 2012) together with higher energy costs in Egypt led to a contraction in results (recurring EBITDA down to 88.5 million euro, a decline of 32.7%).

The figures and changes do not include sales volumes for Afyon (Turkey) and Fuping (China), which were sold in the second quarter of 2012 and classified under discontinued operations in the first quarter of 2012.
In cement and clinker (10.0 million metric tons), sales volumes showed a significant reduction in Europe and in North Africa, in the latter area due to bad weather conditions in Morocco and energy procurement difficulties in Egypt. In North America, which also suffered poor weather in March, sales volumes showed a small reduction overall, while performance was strong in Asia, where all countries reported growth.
Page 3 In aggregates, with sales of 7.0 million metric tons, the reduction arose from performance in Central Western Europe, which was offset to only a modest degree by the strong growth in Morocco.
In ready mixed concrete (2.8 million euro cubic meters), the downturn in Central Western Europe fuelled a reduction in sales volumes in the entire segment, countered in part by healthy performance in Emerging Europe, North Africa and Middle East (Egypt) and Asia (Thailand).
Revenue, at 964.8 million euro (1,063.4 million euro in the first quarter of 2012), fell by 9.3%, due to the business slowdown (-7.3%) and a negative exchange-rate effect (-2.0%).
Revenue performance was affected by the fall in sales volumes, whose impact was countered only in part by the sales price dynamic. At constant exchange rates and on a like-for-like basis, progress was reported in the Asian countries, in Egypt (where price adjustments absorbed the rise in energy costs) and in Bulgaria, while the most significant decreases were in Central Western Europe and Trading.

Recurring EBITDA was 88.5 million euro, a decrease of 32.7% from the first quarter of 2012. This was largely due to the reduction in revenue, the absence of income on
management of CO2 rights (net of this component the reduction was approximately 19%), the rise in some management costs and a negative exchange-rate effect. These factors were offset by the material containment, for approximately 35 million euro in the quarter, of operating expense, achieved as a result of the plans introduced to boost efficiency and savings. With regard to individual country performance, the greatest progress in recurring EBITDA compared with the first quarter of 2012 was reported in Egypt (despite a negative exchange-rate effect) and Thailand, while the largest decreases were in Italy and France- Belgium. EBITDA benefited from a marginal amount of net non-recurring income (8.8 million euro in the first quarter of 2012) and decreased by 36.8% to 88.7 million euro.
EBIT was negative at 16.5 million euro (positive EBIT of 27.2 million euro) after amortization and depreciation charges for 105.3 million euro, a decrease of 6.6%.
The Group posted a loss before tax of 36.9 million euro (-3.4 million euro in the first quarter of 2012), reflecting the impact of net finance costs for 19.5 million euro, a decrease of 34.3% from the year-earlier period. While there was a small increase in net interest expense on net debt (from 20.6 million euro to 21.6 million euro), the Group recorded an important gain (10.2 million euro) as a result of exchange-rate differences and net derivatives on hedging transactions.
The Group posted a loss for the period of 58.5 million euro compared with a loss of 34.4 million euro in the first quarter of 2012. There was a loss attributable to owners of the parent of 78.2 million euro (a loss of 48.9 million euro), and profit attributable to non- controlling interests of 19.7 million euro (14.5 million euro).

Page 4 After capital expenditure totaling 64.5 million euro (81.8 million euro), net debt at March 31, 2013,was 2,105.9 million euro compared with 1,998.3 million euro at December 31, 2012, largely as a result of seasonal trends in working capital. Compared with the end of March 2012, net debt was down by approximately 73 million euro.
Consolidated equity at the end of the first quarter was 4,103 million euro (4,164.7 million euro), while the gearing ratio (net debt / equity) rose to 51.3% from 48.0% at the end of 2012.
Outlook – After a first quarter affected by highly adverse meteorological conditions, the Group believes full-year recurring EBITDA will be substantially stable compared with 2012. The healthy trends on the Asian and North American markets together with the benefits arising from the on-going efficiency measures should counterbalance the effects of the reduction in demand expected on the European markets.
