CONDIZIONI GENERALI DI VENDITA
1. Le condizioni di vendita sotto riportate si applicano a tutti i contratti conclusi con Valdama s.r.l. e non sono derogabili se non con il consenso scritto di Valdama.
2. Nell’inoltrare l’ordine di acquisto, il Cliente automaticamente ed espressamente accetta le condizioni di vendita di Valdama srl, pubblicate sul sito internet www.valdama.it, e riportate in calce al Listino Prezzi, ed in calce all’ordine di acquisto medesimo.
3. I corrispettivi, salvo diversa pattuizione scritta sono quelli pubblicati sul listino prezzi in vigore.Valdama si riserva la facoltà di modificarli sino all’invio della conferma d’ordine al Cliente. La merce rimane di proprietà della venditrice fino all’avvenuto integrale pagamento.
4. I termini di pagamento si intendono tassativi e inderogabili. Valdama srl si riserva la facoltà di sospendere od annullare in tutto o in parte le forniture qualora i pagamenti non siano effettuati nei termini pattuiti. Il mancato rispetto anche di un sola scadenza di pagamento, comporterà la decadenza dal beneficio del termine, con conseguente diritto di Valdama di esigere immediatamente tutti i suoi crediti nei confronti del Cliente, scaduti e non, senza necessità di costituzione in mora.
5. Il cliente è responsabile di tutti i dati di identificazione forniti alla venditrice quali Regione Sociale- Sede Legale- Codice Fiscale- Partita Iva e quant’altro specificatamente richiesto in materia di legislazione vigente. I dati del cliente, secondo la Legge 675/95 saranno custoditi ed elaborati per adempimenti ed obblighi di legge. Ogni altro utilizzo dovrà essere espressamente accettato dal cliente.
6. I termini di approntamento si intendono sempre indicativi ed in relazione alla capacità di evasione del momento. Qualora il cliente debba fornire i dati necessari per eseguire la fornitura, il termine di consegna decorrerà dal giorno del ricevimento dei dati precisi o dal giorno della ricezione del pagamento in caso di ordini prepagati. Quanto sopra include ritardi maggiori causati da calamità naturali, sommosse, scioperi, incendi e da altro evento imprevedibile.
7. L’imballaggio viene effettuato in scatole di cartone. Il costo di imballi speciali verrà indicato nella conferma d’ordine ed addebitato al cliente.
8. la merce è venduta franco fabbrica e viaggia a spese e rischio del Cliente il quale è tenuto a ritirarla entro 5 (cinque) giorni dalla comunicazione di prontezza da parte di Valdama. Sono consentite forniture parziali e/o anticipate.
9. a) Valdama srl presta la garanzia per vizi e/o difetti che rendano i prodotti inidonei all’uso loro proprio, a condizione che tali vizi e/o difetti siano denunciati a mezzo raccomandata RR o pec, specificando il n. di riferimento di fattura d’acquisto, i codici a barre, e la documentazione fotografica/video attestante il difetto, entro e non oltre otto giorni dal
ricevimento della merce da parte del cliente, e comunque prima dell’installazione, da intendersi quale termine perentorio.
b) Nel caso in cui, a seguito di accertamenti tecnici da eseguirsi in contraddittorio tra le parti, venisse confermata l’esistenza di vizi, Valdama srl sarà tenuta a sostituire il/ prodotto/i difettoso/i o ad accreditare al cliente il prezzo di vendita del solo prodotto riconosciuto difettoso, qualora risulti più conveniente procedere alla distruzione in loco. Nessun altro indennizzo, né per danno emergente né per lucro cessante, sarà dovuto da Valdama srl.
c) In caso di contestazioni di qualsivoglia natura, il Cliente non può sospendere i pagamenti in corso, né opporre in compensazione pretese risarcitorie.
10. Per qualsiasi controversia è esclusivamente competente il Foro di Viterbo, con esclusione di qualsiasi altra Giurisdizione e/o Foro. Tutti i contratti stipulati con Valdama sono soggetti esclusivamente alla legge Italiana e, per quanto dalla stessa non previsto, alla Convenzione di Vienna sulla Compravendita internazionali di merci.

GENERAL CONDITIONS OF SALE
1. The terms and conditions of sale set out below apply to all contracts concluded with Valdama s.r.l. and are not waived except with the written consent of Valdama.
2. In submitting the purchase order, the Customer automatically and expressly accepts the conditions of sale of Valdama Srl, published on the internet site www.valdama.it, and shown at the bottom of the Price List, and at the bottom of the purchase order itself.
3. The amounts, unless otherwise agreed in writing, are those published on the current Price List. Valdama reserves the right to change them until the sending of the order confirmation to the Customer. The goods remain the property of the seller until full payment.
4. The terms of payment are considered as mandatory and binding. Valdama srl reserves the right to suspend or cancel the supply in whole or in part whenever the payments are not made in the agreed terms. Failure to meet even a single payment deadline will result in the forfeiture of the benefit of the term, with consequent right of Valdama to demand immediate payment of all its credits from the Customer, those expired and not, without need of formal notice.
5. The Customer is responsible for all identification data supplied to the seller such as Company Name - Registered Office - Tax Code - VAT number and anything else specifically required in relation to the legislation in force. The Customer’s data, according to Law 675/95 will be stored and processed for compliance and legal obligations. Any other use must be expressly accepted by the Customer.
6. The terms of preparation are always considered indicative and in relation to the capacity of sending at the time. If the Customer needs to provide the data necessary for carrying out the supply, the delivery period shall run from the day of receipt of accurate data or from the day of receipt of payment in the case of prepaid orders. The above includes major delays caused by natural disasters, riots, strikes, fires and other unforeseeable event.
7. The packaging consists of cardboard boxes. The cost of special packages will be indicated in the order confirmation and charged to the Customer.
8. The goods are sold ex-factory and travel at the expense and risk of the Customer who is obliged to withdraw them within five (5) days from the Notification of readiness by Valdama. Partial and/or anticipated deliveries are allowed.
9. a) Valdama srl provides warranty for defects and/or shortcomings that make the products unfit for their use, on condition that such defects and/or shortcomings are reported by means of registered letter with return receipt or Registered email (PEC), specifying the no. of reference of purchase invoices, bar codes, and the photographic/video documentation attesting the defect, no later than 8 (eight) days from receipt of the goods by the Customer, and in any case before installation, intended as a final deadline.
b) In the case in which, as a result of technical assessments to be carried out in the presence of both parties, defects have been confirmed, Valdama srl will be required to replace the defective product/s or to credit the Customer the selling price of only the product recognised as defective, should the on-site destruction be deemed as more convenient. No other compensation, either for damages or for loss of profit, will be due from Valdama srl.
c) In the case of disputes of any kind, the Customer cannot suspend payments in progress, nor make claims for damages for compensation.
10. For any dispute, the Court of Viterbo has exclusive jurisdiction, with the exclusion of any other jurisdiction and/or Court. All contracts with Valdama are subject exclusively to Italian law and, as for all that is not by the same specifically provided, to the Vienna Convention on the International Sale of Goods.
