TERMINI
DELL’OPERAZIONE
Aumento a titolo gratuito del capitale sociale da realizzarsi mediante l’assegnazione, a beneficio di ciascun azionista, di una nuova azione ordinaria Generali ogni dieci azioni (cfr. Avviso di Borsa Italiana n.
8257 del 9 maggio 2007).

Chiusura delle negoziazioni del 25 maggio 2007.
INTERVENTI DI RETTIFICA
Ai sensi degli art. IA.9.1.10 comma 1, lettera b) e IA.9.1.10 comma 3 delle “Istruzioni al Regolamento dei mercati organizzati e gestiti da Borsa Italiana S.p.A.", l’intervento di rettifica incide sul prezzo di esercizio e sul numero di titoli (lotto) oggetto dei contratti di opzione.
MODALITÀ DI RETTIFICA L'intervento di rettifica avviene mediante l’applicazione del coefficiente K, calcolato secondo la seguente formula e arrotondato alla sesta cifra decimale.

CONTRACT OBJECT TO ADJUSTMENT
Stock option contracts on Generali shares.
DETAILS OF THE CORPORATE ACTION
Free capital increase to be realized through the awarding, in favour of each shareholder, of a new Generali ordinary share for every ten already owned (see Avviso di Borsa Italiana n. 8257 dated May 8th, 2007).

INTERVENTION DATE
The adjustment intervention date will be May 25th, 2007.

According to Borsa Italiana’s Instructions, Articles IA.9.1.10 paragraph 1, subparagraph b) and IA.9.1.10 paragraph 3, Borsa Italiana notifies that strike prices and the number of shares (lot) underlying the stock option contracts shall be adjusted.
ADJUSTMENT CONDITIONS
The adjustment intervention shall be done by applying the coefficient K according to the following formula and rounded to sixth decimal digit.

ADJUSTED SERIES The described intervention shall be applied to all stock option series open for trade at closing of trading day on May 25th, 2007.
ISIN CODE The adjusted stock option series shall be generated with a new ISIN code and have an “X” at the end of this.
SUSPENSION OF EARLY EXERCISE
May 25th, 2007
