4.4 Il Framework dell’IIRC
4.4.1 Cenni sull’International Integrated Reporting Council
“L‟IR [integrated reporting], sul quale il dibattito è in forte espansione negli ultimi anni, è oggetto di analisi nell‟ambito della letteratura accademica, della prassi professionale e di altri gruppi d‟interesse. L‟organizzazione che sta più determinando il dibattito e contribuendo maggiormente allo sviluppo del tema è […] l‟IIRC (341
), che
rappresenta una coalizione di policy maker, investitori, aziende, professionisti e NGO [non-governmental organization] che ha come scopo quello di contribuire all‟evoluzione del sistema di reporting aziendale esterno attraverso l‟IR.” (342
). Busco Cristiano e Tanno Angela specificano che l’IIRC ha lo scopo di “migliorare la
reportistica aziendale definendo le connessioni tra dimensioni economico-finanziarie e performance conseguite in ambito sociale e ambientale, facendo leva sui processi di creazione del valore basati sul modello di business e sulle strategie operative dell‟azienda.” (343
). Malafronte Irma e Starita Maria Grazia sottolineano anche come l’IIRC abbia “l‟obiettivo di promuovere la comunicazione della creazione di valore
come il prossimo passo nell‟evoluzione del reporting aziendale.” (344 ).
La missione dell’IIRC consiste nel far diventare il pensiero integrato ed il reporting

131 integrato tasselli chiave nelle pratiche aziendali di tutte le organizzazioni, sia pubbliche e sia private. Invece, la visione dell’IIRC è di riuscire ad allineare l’allocazione dei capitali ed i comportamenti aziendali agli obiettivi più ampi di stabilità finanziaria e di sviluppo sostenibile attraverso il ciclo del pensare e della reportistica integrata.
“The concept of integrated reporting emerged first in South Africa in 1994; the
first experiments were followed by the foundation (345) of the International Integrated Reporting Committee (IIRC) in [august] 2010, which was then renamed to the International Integrated Reporting Council in 2012.” (346). Questa organizzazione ha sede a Londra ed è dotata di quattro organi:
1. Un Council con compiti di indirizzo, in particolare esso ha “three main
responsibilities: to advise IIRC on its mission, role and governance practices; to provide thought leadership, intellectual contribution and strategic insights on IIRC‟s initiatives and activities; and to lend weight and credibility to IIRC‟s profile” (347).

internazionale di cui è membro anche il CNDCEC, ha convocato una riunione di alto livello rivolta ad investitori, standard setter (inclusi FASB e IASB), società, organismi contabili e rappresentanti delle Nazioni Unite, nella quale si è deciso che l‟A4S e la Global Reporting Initiative lavoreranno insieme con altre organizzazioni per costituire un organismo internazionale che sovrintenda alla creazione di un quadro normativo, o standard, di reporting integrato. La creazione dell‟International Integrated Reporting Committee (IIRC) è stata formalmente annunciata nell‟agosto 2010.”.

132 2. Un Working Group o gruppo di lavoro, il quale si riunisce per fornire le giuste raccomandazioni e gli orientamenti pratici (soprattutto sullo sviluppo del Framework e sulla diffusione del report integrato) al Board ed al Council. 3. Il Segretariato con compiti operativi.
4. Un board, ovvero il consiglio direttivo, il quale è responsabile della gestione operativa della società e dell’interazione e del coordinamento tra Council, Working Group, Segretariato e stakeholder esterni.
“To fulfill the most significant mission of developing a framework, IIRC issued
a Discussion Paper in September 2011, subsequently publishing a Consultation Draft in April 2013. IIRC deliberated on the comments received from various stakeholders, eventually promulgating the International Integrated Reporting Framework (IIRF) in December 2013.” (348).
La diffusione del framework e del bilancio integrato è agevolata dalla circostanza che “L‟IIRC è appoggiato da numerose istituzioni non solo nel campo
dell‟accounting e del reporting (IASB, FASB), ma anche da organismi professionali (IFAC) e politici in senso stretto (Unione europea, governi nazionali).” (349).
